Item #4

There’s not much left to say about #3 at this point, but can someone explain what item #4 is about?

Item #4: [Board of Directors recommends you vote FOR Item #4] Amendment of ByLaw 4.3 to require that any Director elected after 2010 be an Individual or Life Member, such that the Bylaw will read in pertinent part: “…Qualifications: All Directors must be either General Individual Members or Life General Members of the Corporation, at least eighteen years of age, and in good standing at the time of their election, except that any Director elected prior to 2011 may serve the remainder of his term even if not an Individual or Life Member…”

The board is for it and the GoMorgans set is against it. I guess it has something to do with directors being individual members under their own name rather than entity members under their farm names, but what does that accomplish? The email I received from one of my regional directors urged members to vote for this one so the AMHA would be in compliance with the settlement, or something to that effect, but if that’s the case then why is GoMorgans against it?

    In a nutshell, if you look at the settlement agreement (3.A.iv) it states that going forward, all directors shall hold individual memberships. In fact, the AMHA board has already changed bylaw 5.2.1 to reflect this. The bylaw involved in proposal #4 is in the section that must be presented to a vote of the general membership for any changes. Therefore, the proposal is on the ballot, and in fact needs a “for” vote of the membership both to 1) be in compliance with the settlement agreement, and 2) keep the AMHA bylaws internally consistent.

    My only guess as to why Gomorgans would come out against this one, as it was agreed to by plaintiffs in settlement, is it is just a knee-jerk reaction against anything presented by AMHA.

    I kind of had the same thought, colwilrin.

    What was the issue they were trying to solve with this change? It doesn’t sound like it’s a big deal, but I’m just curious.
